TERMS AND CONDITIONS FOR MONTHLY TAX SERVICES SUBSCRIPTION 

These Terms and Conditions (“Agreement”) are entered into by and between Josh Mauer CPA LLC, a Kansas corporation, having its principal place of business at 7707 W 151st St Overland Park, KS 66223 (“Company” or “we” or “us”), and the individual or entity subscribing to the tax services (“Client” or “you”).

 

Services

       1.1 Scope of Services:

       Company agrees to provide monthly tax services to the Client in accordance with the selected subscription package as outlined on our website or as agreed upon between the parties.

       1.2 Tax Advisor:

       Company shall assign a  tax advisor to handle the tax-related matters for the Client.

       1.3 Communication:

       The parties agree to maintain open and timely communication regarding the tax services and related matters.

2. Subscription and Fees

       2.1 Subscription:

       By subscribing to our monthly tax services, you agree to pay the specified subscription fee, which may vary based on the selected package and the scope of services.

       2.2 Billing:

       The subscription fee will be billed on a monthly basis, starting from the date of enrollment.

       2.3 Payment:

       Client agrees to make payments using the payment method specified during the subscription process. All payments are non-refundable.

       2.4 Price Changes:

       Company reserves the right to modify the subscription fees with prior notice to the Client.

3. Confidentiality

       3.1 Non-Disclosure:

       The parties shall treat all information exchanged during the course of this engagement as confidential and shall not disclose it to any third party, except as required by law.

4. Term and Termination

      4.1 Term:

       This Agreement shall commence on the Effective Date and shall continue on a month-to-month basis, unless terminated earlier as per the provisions of this Agreement.

      4.2 Termination:

       Either party may terminate this Agreement by providing 30 days’ written notice to the other party. Upon termination, if a federal tax filing has not been completed monthly subscription will be terminated with no refunds allowed.  If termination falls within a 12 month renewal period and a federal tax filing has been completed, the client agrees to pays the balance up to a completed  12 month billing cycle, for example if your subscription has completed 6 months, and your recent tax return is completed, you agree to pay the remaining 6 months.  If you have a prepaid annual membership no refunds will be issued as the membership represents  all the efforts the company provides through the year and a reservation for staff’s time.

5. Limitation of Liability

      5.1 No Consequential Damages:

       In no event shall either party be liable to the other for any consequential, incidental, indirect, special, or punitive damages arising out of or in connection with this Agreement.

6. Governing Law and Jurisdiction

       6.1 Governing Law:

       This Agreement shall be governed by and construed in accordance with the laws of Kansas, without regard to its conflicts of law principles.

      6.2 Jurisdiction:

       Any legal action or proceeding arising out of or relating to this Agreement shall be brought in Johnson County, Kansas, and the parties hereby consent to the exclusive jurisdiction of such courts.

7. Josh Mauer CPA reserves the right to change the terms of this agreement, including price, from time to time, effective as of the beginning of your next billing period following the date of the change. We will give you advance notice of these changes.

8. You agree to hold us harmless and to release, indemnify, and defend us from any liability or costs, including attorney’s fees, resulting from misrepresentations to us or resulting from any actions against us by third parties relying on the services we provide described herein except for our own intentional wrongdoing.

9. The engagement to be performed is conducted on the basis that the member acknowledges and understands that our role is to provide services to the best of our ability from the accuracy and completeness of the records, documents, explanations, and other information, including significant judgments, you provide to us for the engagement

           Including but not limited to:

  • Documentation, and other related information that is relevant to the service
  • Additional information that may be requested for the purpose of the preparation of our services

By checking the box and subscribing to our tax services, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
